Annual Compliance & Renewals
Maintaining a business requires more than filing taxes. Missing an annual report deadline triggers a state late fee that varies by state, and continued non-compliance can result in loss of good standing and administrative dissolution of your company. We track and file the recurring state and federal requirements for you.

In short: We manage the recurring filings that keep your company in good standing: state annual reports, BOI reports, franchise taxes, and state renewals, tracked on a compliance calendar. It is for business owners who want one firm watching every state and federal deadline, since missed reports can lead to penalties or administrative dissolution.

Beyond the Tax Return
Registering your business is only the first step. To maintain your legal protections and remain in "Good Standing" with the state, you must meet ongoing filing requirements. Missed deadlines can lead to late fees, loss of good standing, and eventually administrative dissolution, which can put your business name and the liability protection of the entity at risk.
At Arc & Ledger, we provide a structured approach to annual compliance. We track your deadlines, prepare the necessary reports, and review each filing before it is submitted.
BOI Reporting Update
Under FinCEN's final rule effective August 14, 2026 (which made the March 2025 interim rule permanent), U.S.-formed entities and U.S. persons are exempt from Beneficial Ownership Information (BOI) reporting. Only foreign-formed entities registered to do business in the U.S. are currently required to file. If your company was formed outside the U.S., willful non-compliance can result in civil penalties of $606 per day (the inflation-adjusted amount). We handle this filing for foreign-formed entities subject to current rules.

How every engagement is checked
Every engagement runs through the same written procedure. It is the reason the fee is what it is, and you can hold us to it.
- 1Scope and fee in writing before any work begins.
- 2Documents arrive through the secure client portal, not as email attachments.
- 3A second review on a different day, against a written checklist, before anything is filed.
- 4If the IRS writes about a return we prepared, reviewing the notice with you is free. Any response or representation beyond that review is quoted in writing first.
